Please read these Terms of Service ("Terms") carefully before using the FairShare platform and related services (collectively, the "Services") operated by WiseOR Holdings, LLC (the "Company"). By accessing or using the Services, the User agrees to be bound by these Terms.

1. Acceptance of Terms

By creating an account, checking a box or clicking a button indicating acceptance, or otherwise accessing or using the FairShare platform (including WiseOR services), the User acknowledges that the User has read, understood, and agrees to be bound by these Terms of Service and the Company's Privacy Policy, which is incorporated herein by reference.

2. Eligibility

To use the Services, a User must be at least 18 years of age and have the legal capacity to enter into a binding contract. The Services are designed for use by healthcare professionals and healthcare organizations in the United States, including physicians, surgeons, CRNAs, Anesthesiologist Assistants (AAs), anesthesia technicians, nurses, hospital administrators, and healthcare facility staff.

3. Account Registration

To access certain features of the Services, a User must register for an account. Users agree to provide accurate information, maintain account security, and accept full responsibility for all activities that occur under their account.

4. Description of Services

FairShare is a healthcare workforce scheduling and management platform providing: a market-based Time-Off Bidding System using FairCoin; Shift Management with real-time staffing visibility; a Marketplace for shift and vacation swaps; Gratitude & Recognition tools; and Equity Tracking for fair distribution of shifts over time.

11. HIPAA Compliance & Business Associate Agreement

FairShare is designed to comply with applicable requirements of the Health Insurance Portability and Accountability Act (HIPAA). The Company acts as a Business Associate to covered entities and will execute a Business Associate Agreement (BAA) upon request.
